Associate General Counsel-Credit (Real Estate Investment)

Compensation: $175K–$225K + Bonus (up to 35%)

Position Overview

Our client is seeking an Associate General Counsel – Credit to serve as the lead legal advisor for its multi-billion-dollar Credit Platform. This role partners closely with capital markets, treasury, finance, and executive leadership teams, providing strategic legal guidance on credit transactions, fund structures, financing arrangements, regulatory compliance, and related corporate matters.

The ideal candidate will bring a strong foundation in corporate finance and credit transactions, along with the ability to deliver practical, business-oriented legal solutions in a fast-paced investment environment.

Key Responsibilities

Credit Transactions & Fund Support

  • Structure, negotiate, and close a broad range of financing transactions, including credit facilities, mezzanine loans, warehouse facilities, preferred equity investments, and repurchase agreements.
  • Advise business teams on transaction risk, covenant compliance, and financing structures.
  • Support the formation, structuring, and ongoing legal needs of credit funds.
  • Manage amendments, waivers, restructurings, and workout matters as needed.
  • Coordinate with lenders, investment banks, and outside counsel throughout the transaction lifecycle.

Compliance & Corporate Governance

  • Support compliance initiatives for an SEC-registered investment adviser.
  • Monitor regulatory developments and advise on compliance obligations and policy updates.
  • Assist with internal investigations, regulatory examinations, and governance matters.
  • Maintain corporate records, entity management, and board documentation.

Legal Advisory

  • Provide legal support on corporate transactions, contract review, due diligence, and strategic initiatives.
  • Partner with finance, tax, accounting, HR, and operations teams to identify and mitigate legal risk.
  • Manage outside counsel relationships and legal budgets.

Qualifications

  • Juris Doctor (JD) required.
  • Active Pennsylvania Bar membership or ability to obtain admission within three months of hire.
  • 5+ years of experience in credit transactions, fund formation, corporate law, investment management, or regulatory compliance.
  • Experience supporting complex financing transactions and investment structures.
  • Ability to independently manage multiple matters and operate as a trusted business partner.
